Transparency and Trust
At Calvient, we believe healthcare providers, partners, and patients deserve clarity about how we operate. These Terms of Use describe the general rules for accessing and using our applications, website, and related services (collectively, the “Services”).
We publish these Terms as part of our commitment to transparency and trust. They are intended to provide a clear baseline of how we handle privacy, security, and service use. For clients and partners who have executed a Master Service Agreement, Terms of Service, or Order Form with Calvient, those signed agreements always govern and take precedence. In the absence of such an agreement, these Terms apply to your use of the Services.
1. Privacy, Security, and Compliance
We take privacy and security seriously. We maintain organizational, technical, and administrative safeguards designed to meet the requirements of applicable laws, including the Health Insurance Portability and Accountability Act of 1996 (HIPAA), where applicable to the Services.
Details of our practices, including our approach to HIPAA, security controls, and compliance programs, are available in our Customer Trust Center and in our Privacy Policy.
By using our Services, you acknowledge that Calvient processes information in accordance with its Privacy Policy and that responsibility for compliance with HIPAA and other regulations applicable to your organization remains with you as the covered entity or business associate.
2. Confidentiality
We treat information shared with us as confidential and will use it only as needed to provide Services or as required by law.
However, “Confidential Information” does not include information that:is or becomes publicly available through no fault of Calvient; was already known to Calvient before disclosure; is independently developed by Calvient without use of confidential information; or must be disclosed by law, regulation, or valid legal process.
3. Service Commitments
We strive to provide reliable and secure Services. Calvient maintains business continuity and disaster recovery procedures, including tested backup and recovery objectives, to support the availability of our Services.
Unless expressly agreed in a signed contract, we do not guarantee any specific level of uptime, response time, or performance. The Services are otherwise provided “as is.”
4. Acceptable Use
You may not use the Services to:violate applicable law or regulations; interfere with the security or availability of our systems; disrupt other users’ access to the Services; upload or transmit malicious code or spam.
We reserve the right to suspend or terminate access if these rules are violated.
5. Fees and Payment
Fees and payment terms are governed by a signed Order Form or Master Service Agreement. In the absence of such an agreement, Calvient may only charge fees where such fees are clearly disclosed to you at the point of use.
6. Intellectual Property and Data Rights
All content, software, and technology made available through Calvient remain our property or the property of our licensors. You may not copy, modify, or distribute our materials without prior written consent.
You retain ownership of your data — including Protected Health Information (PHI) and any proprietary workflows, procedures, documentation, or similar materials you submit to or develop within the Services. Calvient will use such materials only as reasonably necessary to provide and support the Services. Calvient retains ownership of the platform and all associated intellectual property.
7. Limitation of Liability
Except as otherwise required by law or agreed in a signed contract: Calvient will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, lost profits, or business interruption. Calvient’s aggregate liability for direct damages will be limited to the greater of (a) $1,000 or (b) the fees you paid for the Services in the twelve (12) months prior to the claim.These limitations do not apply to liability arising from Calvient’s gross negligence, willful misconduct, or obligations under HIPAA where applicable.
8. Governing Terms and Law
If you have executed a signed Master Service Agreement, Terms of Service, and/or Order Form with Calvient, that agreement controls. These Terms apply only in the absence of such an agreement.
These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to conflict of law principles.
9. Changes to These Terms
We may update these Terms of Use from time to time to reflect changes in our practices, legal requirements, or services. Updates will be posted here with a revised “Last Updated” date.
If you are a client under a signed agreement, changes to these Terms will not modify that agreement unless mutually agreed in writing.
